Information technology has taken a pervasive place in organizations and society. Digital transformation has a disruptive impact on businesses, it raises the awareness of the capability of the board of directors to manage this environment due to its duty to ensure the long-term success of the organization. This paper aims to evaluate and explore the digital maturity of the board of directors. The question studied by this research is thereby: To what extent does the board of directors socially and structurally understand the digital issues related to the organization and its environment? The solution to the research questions has been answered with a maturity model that assesses the soft and hard aspects of IT governance while considering the environmental context. Based on a qualitative empirical investigation carried out on different boards of directors of different companies of various sizes and sectors, an observation was concluded within the limits of the research. The board of directors shows great signs of digital maturity in both soft and hard governance but still lacks structural maturity to fully tackle the digital component, moreover, the lack of digitally minded participation and understanding has been observed. Ultimately, this analysis demonstrates the possibility of evaluating the digital maturity of the board of directors without claiming a definitive answer, more research on the model and the companies would be relevant.
